Overview
We are working on behalf of a start up financial services organisation who are looking to appoint an Independent Non-Executive Director to support the development and growth of the company. The role of the IED is to participate in board meetings alongside the executive to enable the board to reach decisions and make sure that the Board’s obligations are fulfilled and to serve on one or more standing or ad-hoc Board committees as required. The Board of Directors is in charge of the overall management of the business. They are responsible for the strategic and operational decisions of the company and are responsible for ensuring that the company meets its statutory obligations.
General Duties:
- To participate in and serve on the Board in accordance with the Articles of Association of and the Board’s terms of reference.
- Set the Company’s strategy, taking account of the interests of all stakeholders and satisfactory return to shareholders.
- Review and approve the firm’s strategy, risk appetite, control framework and corporate governance framework.
- Together with other members of the board, articulate and maintain a culture of risk awareness and ethical behaviour for the entire organisation to follow in pursuit of its business goals.
- Directing, evaluating, and monitoring the companies IT strategy & architecture including operational resilience and cyber security arrangements.
- Awareness of the evolving regulatory expectations and requirements relating to operational resilience, 3rd party risk management.
- Keep up to date and fully informed about strategic issues and commercial changes affecting the company and the market in which it operates.
- Represent the interests of the customers, employees, shareholders, and other stakeholders.
- Ensure the Company’s adherence to the regulatory regimes in the countries in which it operates and conducts business in accordance with all relevant statutory and regulatory requirements.
- Ensure adequate records are maintained of Board discussions and decisions.
- Ensure a strong capital base is maintained to support the development of the Company’s’ business.
- Ensure an integrated system of planning and budgeting is established to ensure that the Company can efficiently and effectively achieve its strategic objectives.
General and company-wide duties:
- Demonstrate strong customer focus, both internally and externally.
- Build and maintain lasting working relationships with Company and Group staff and any relevant external contacts.
- Demonstrate the Companies behaviours and values at all times.
- Support the development of a strong team with high standards of risk awareness and ethical behaviour.
- Review at least annually the time commitment required to perform your role.
- Close interaction with senior management responsible for the firm’s growth and lending strategy.
Knowledge and skills:
- Senior executive Financial Services experience in Bridging Lending and SME lending
- Successful strategic growth implementation
- Previous Board experience
- Experience of wider non-regulated finance sector
- Knowledge/Experience of Shariah finance (training will be given if required)
