CRA Consulting are excited to be working in partnership with a leading law firm on an opportunity for a corporate solicitor who wants to do high-quality corporate work — but in a more human, less corporate environment.

This is a chance to join a specialist firm with a diverse and values-led client base, where corporate law supports families, owner-managed businesses, charities, social enterprises and trustees — not just transactions for transaction’s sake.


The Opportunity

You’ll join a focussed corporate and commercial team advising clients from across the firm’s practice areas, including private client, property and charities/social economy.

The work is broad and varied. One week you might be:

  • Structuring a family investment company
  • Advising on the sale of a farming business (shares or assets)
  • Supporting a transition to employee ownership
  • Drafting shareholder arrangements for an owner-managed business


The Work

You’ll handle a varied corporate finance and governance caseload, including:

M&A

  • Share sale and purchase transactions (including due diligence and disclosure)
  • Business and asset sales and transfers
  • Heads of terms and term sheets
  • Board minutes, resolutions and Companies House filings

Share & Structural Work

  • Share capital structuring, reorganisations, issues and buybacks
  • Shareholders’ agreements
  • Equity, profit participation and revenue sharing arrangements
  • Articles of association
  • Incorporations (share companies, guarantee companies, trustee and trading companies)
  • Partnership and LLP agreements

Governance

  • Directors’ duties and corporate decision-making
  • Shareholder/member admissions and exits
  • Appointment and removal of directors
  • General corporate governance advice

There may also be exposure to:

  • Debt finance (loan agreements, security, guarantees)
  • Public bond issues
  • Insolvency-related considerations
  • Financial services regulatory matters


Experience in these areas is helpful but not essential.

The firm works across a variety of legal structures, including companies limited by shares and guarantee, LLPs, partnerships and other specialist vehicles. Exposure to diverse structures is advantageous but not required.

About you:

  • A corporate solicitor currently in a commercial firm looking for a less-corporate culture
  • A lawyer who enjoys technical corporate work but wants a more relationship-driven client base
  • Someone early in their career (under 5 years’ PQE) looking for breadth and responsibility
