Responsibilities

• Global contract drafting and negotiating: Review, draft, and negotiate vendor contracts, including recognising and escalating vendor contractual issues with MUFG Vendor Management, Outsourcing, Data Protection, Legal, Information Security and business teams. Vendor contracts will include Master Services Agreements, Statements of Work, Software License Agreements, Subscription as a Service Agreements, Engagement Letters and Non-disclosure Agreements.
• Regulatory matters that impact commercial contracts: Advise the business on day-to-day legal and regulatory matters across all key jurisdictions of MUFG and assist the business with managing legal risk. Knowledge and experience in regulations that impact vendor contracts such as the EBA Guidelines on Outsourcing Arrangements and Digital Operational Resilience Act, implementing and remediating contracts as required and tracking updates for revisions.
• Understanding company products and services: Manage vendor contract matters from start to finish, including taking instructions, gathering information, determining the appropriate course of action, managing timelines and stakeholder expectations, reviewing and drafting legal documents, and coordinating input from the business and external counsel if appropriate.
• Working closely with Vendor Management: Assist and advise on opportunities for enhancements to the vendor contract review processes and procedures; obtain sign-off from relevant parties and manage execution or final legal sign-off as appropriate.
• Cross-department stakeholder advising: Respond to vendor legal queries from operational departments, internal control/support groups, client integration/client services teams, senior management and entity boards, regarding applicable laws and regulatory matters affecting MUFG and its client services.
• Broad financial services experience: A broad knowledge of financial services is beneficial for this role.
• Supporting projects: Support projects that impact MUFG vendors and vendor matters.
• Other duties as required.

Qualifications

Qualified English solicitor with at least 5-10 years PQE (must be admitted to the Law Society of England and Wales and be in good standing).
