Parkinson Lee Executive Search are the retained partners to a growing group of companies within the construction industry in the appointment of a Group Governance & Compliance Director. This business has been through significant organic growth over the past 6 years and is now recognised as a major brand within their field.


This is a rare and prestigious opportunity for a seasoned executive to join the executive leadership team of an ambitious business, bringing together operational compliance, governance and control and corporate leadership of several of the groups back office support functions. The appointed candidate will play a critical role in shaping and delivering the strategic and commercial future of the business and function as a business partner to the Group CEO and Executive Board.


The Opportunity


As a key member of the Board, the Group Governance & Compliance Director will assume full responsibility for the operational performance of the business, alongside corporate governance, legal oversight, and risk management. This appointment demands an experienced, commercially astute executive that holds a legal qualification and has a proven track record of transformation, legal and regulatory leadership, and cross-functional management at Board level.


Key Responsibilities


  • Advise the Board on governance, statutory duties, and regulatory compliance.
  • Lead risk management across the business, ensuring mitigation strategies are in place.
  • Review and approve commercial contracts from a risk and compliance standpoint.
  • Oversee HR, Health & Safety, IT, and ESG to ensure alignment with governance standards.
  • Support senior leaders in embedding ethical, sustainable, and compliant practices.
  • Ensure effective and timely information flow from management to the Board.
  • Maintain and update compliant, efficient company policies and procedures.
  • Contribute to strategy with a focus on governance, risk, and long-term compliance.
  • Drive quality and compliance by setting departmental goals with function leads.
  • Manage all company secretarial duties and Companies House filings.
  • Uphold ethical conduct and governance standards across all Group companies.
  • Review insurance policies to ensure appropriate coverage and risk alignment.


Candidate Profile


  • Finance or Legal qualification and background with a strong foundation in operational leadership, and proven experience of working within contract management and financial framework remits at senior level
  • Substantial experience working within dynamic, evolving organisations—ideally including group structures
  • Strong governance and legal acumen, with direct experience in risk, compliance, and corporate legal responsibilities
  • Demonstrated success in driving performance improvement, operational change, and sustainable growth
  • Confident Board presence with excellent communication skills and commercial gravitas
  • Experience across sectors such as construction, facilities management, outsourcing, or business services would be advantageous
