We have a rare opportunity for a dedicated Company Lawyer or Corporate Governance Professional to oversee CBRE's Advisory business across Europe, working in close alignment with the in-country legal teams across the EMEA region with particular focus on UK, Ireland and Continental Europe.

This role will involve direct responsibility for multiple UK entities, supervision of Special Purpose Companies and an advisory role for those entities in Continental Europe, all under an established Governance structure in line with international best practices. A key focus will be on Risk Management, to ensure all CBRE entities, as well as their Directors, Managers and employees, comply with all relevant policies, laws, regulations and codes of conduct.

This role is a high visibility position requiring coordination across multiple jurisdictions and continuous engagement with various levels of the CBRE Group's personnel in the UK and across EMEA.

Key Responsibilities

• Formalize and communicate a written Governance Code across the EMEA Region.
• Ensure all CBRE entities are in good legal standing (i.e., filings, licenses, corporate books, etc). Ensure annual financial accounts are completed and approved within the legal timeline required.
• Report on any non-compliance or at-risk compliance issues and assist the business to rectify the position.
• Provide updates to the business on key legislative changes which affect Corporate Governance, as applicable.
• Draft and manage communication of Directors' and Shareholders' minutes/resolutions, as needed.
• Lead legal role in Corporate re-organizational projects across EMEA involving Special Purpose Companies or Advisory entities.
• Establish, merge, and/or dissolve Advisory offices as required by the business.
• Manage the appointment and removal of Directors, as needed.
• Assist the business in new business initiatives or geographic expansion in EMEA which require a New Venture Risk Assessment or Legal Entity Change Approval Process.
• Advise on Corporate Governance aspects in M&A transactions.
• Manage the Affiliate Network Programme across EMEA.
• Provide ad hoc Governance advice to, and collaborate with, legal, operational and commercial colleagues across EMEA with respect to multi-jurisdictional special projects.
• Develop and deliver live and web-based Corporate Governance training to Directors on their role and responsibilities and colleagues in EMEA as appropriate to their position.
• Work autonomously and efficiently to deliver Corporate Governance solutions to support the EMEA Advisory business.
• Work collaboratively across business/service lines and geographies in EMEA.
• Peer review, supervision and mentoring of junior members of the EMEA legal team.

Qualifications and Attributes

• Qualified Governance Professional or Solicitor with a minimum of 10 years PQE, ideally gained in private practice and in-house
• Solid commercial contracts experience
• Experience working in a multi-national organisation
• Excellent communication skills, both verbally and in writing
• Ability to work independently, proactively and co-operatively
• Ability to prioritise and co-ordinate tasks efficiently ensuring all deadlines are met
• Willingness to work on tight timeframes at a fast pace, including accommodating different time zones on global transactions
• Accurate and exceptional attention to detail
• Professional and approachable whilst also being adaptable
• Team player who deals effectively with colleagues
